The work is challenging, ever-changing and extremely high-stakes. You will have the opportunity to work on a wide variety of matters including financing, hedging and monetization transactions (e.g. variable prepaid forwards, funded collars, covered calls and both pre- and post-IPO margin loans), capital raising transactions (e.g. convertible debt, convertible preferred equity and issuer forwards), structured repurchase transactions (e.g. accelerated share repurchasers and capped calls), and structured acquisition transactions (e.g. long TRSs). We are securities lawyers at heart, with deep product expertise and significant knowledge of tax, secured transactions, bankruptcy. This is a perfect role for an associate who wants both the adrenaline rush of deal work and the intellectual challenge of deep legal analysis and structuring. Working with us will make you a versatile and well-rounded transactional lawyer. In addition to our New York team, we have partners in London, Hong Kong, and Europe, allowing us to provide global coverage and unrivaled cross-border capabilities. The group sits within Latham’s market leading capital markets practice, which helps clients raise billions of dollars each year through all forms of securities products. About the Role The Corporate Department is seeking a highly qualified associate to join the strategic equities transactions group, as a 3rd through 6th year associate.
