We handle cutting edge equity derivatives, equity-linked financings, and convertible note offerings with extremely sophisticated clients ranging from bulge-bracket investment banks, through corporates and buy-side funds, through to ultra-high-net-worth individuals. The work is challenging, ever-changing and extremely high-stakes. You will have the opportunity to work on a wide variety of matters including financing, hedging and monetization transactions (e.g. variable prepaid forwards, funded collars, covered calls and both pre- and post-IPO margin loans), capital raising transactions (e.g. convertible debt, convertible preferred equity and issuer forwards), structured repurchase transactions (e.g. accelerated share repurchasers and capped calls), and structured acquisition transactions (e.g. long TRSs). We are securities lawyers at heart, with deep product expertise and significant knowledge of tax, secured transactions, bankruptcy. This is a perfect role for an associate who wants both the adrenaline rush of deal work and the intellectual challenge of deep legal analysis and structuring. Working with us will make you a versatile and well-rounded transactional lawyer. We are open to a broad variety of transaction backgrounds.
