Description

POSITION DESCRIPTION PARALEGAL POSITION SUMMARY: Job Title: Paralegal, General Counsel’s Office Location: New York, NY The Paralegal in the General Counsel’s Office will provide paralegal and administrative support to the General Counsel’s Office, as well as the Business Development group. The General Counsel’s Office is responsible for managing all legal, business and intellectual property issues for IAVI, as well as overseeing risk management activities. The Business Development group is responsible for accessing new technology, structuring corporate partnerships, managing intellectual property and the transfer of research materials for IAVI’s research and development programs. KEY RESPONSIBILITIES: Provide paralegal support to the General Counsel’s Office and Business Development group: • Assist with preparation and drafting of contracts, including review of agreements, proofreading, editing, and execution of agreements • Conduct research on various legal, regulatory and business development matters • Assist in matters relating to Board of Directors, the Code of Conduct and Conflict of Interest Policy and other Corporate policies; • Maintain Board and Committee Minutes • Responsible for branch office/affiliate corporate governance and minutes maintenance • Assist with filings for registrations in US and foreign jurisdictions • Assist with Board meeting preparations and subsidiary board meetings • Maintain General Counsel’s Office filing system • Assist with enterprise risk management activities • Prepare and edit presentations for conferences, board and senior management meetings • Prepare correspondence • Assist with meetings, conference calls and travel arrangements • Monitor relevant news through subscriptions for the General Counsel’s Office and Business Development and on-line research • Other paralegal duties as needed EDUCATION AND WORK EXPERIENCE: • Strong organizational skills, writing skills and attention to detail • Strong research skills • Strong project management skills • Ability to work independently, be proactive and follow up and prioritize and handle multiple tasks/demands with minimal supervision • Strong work ethic and interpersonal skills Strong communication skills • Proficiency in MS Office Package – especially Outlook (email/calendar), Microsoft Word (tracking changes/legal blackline) and PowerPoint; the Internet; Adobe Acrobat • Cultural sensitivity and respect for diverse colleagues • Prior corporate governance paralegal experience a plus Work Environment and Physical Demands: The work environment and physical demands described here are representative of those that must be met by an employee to successfully perform the essential functions of this job.
