          "text": "<p>We’re&#xa0;looking for a dynamic Legal Counsel to support our growing U.S. business, partnering closely with Commercial&#xa0;(AECO)&#xa0;and Government Sales teams to help drive revenue while thoughtfully managing legal risk. In this role,&#xa0;you’ll&#xa0;sit at the&#xa0;center&#xa0;of our go-to-market efforts—advising on deal strategy,&#xa0;negotiating&#xa0;and drafting SaaS and data licensing agreements, and guiding teams through complex contract structures, including those involving machine learning and government entities.&#xa0;You’ll&#xa0;play a key role in enabling the business to move quickly and confidently, translating legal considerations into clear, practical guidance that supports our broader company&#xa0;objectives.&#xa0;</p><p>Beyond day-to-day deal support,&#xa0;you’ll&#xa0;contribute to building scalable legal processes and strengthening compliance across the organization. This includes developing training for internal teams, refining contract playbooks and toolkits, and staying ahead of evolving legal and regulatory requirements—particularly across government and multi-jurisdictional agreements.&#xa0;You’ll&#xa0;also collaborate with a global legal team, gaining exposure to international projects and working closely with our headquarters in Sydney.&#xa0;</p><p>This is an ideal opportunity for a commercially minded attorney who enjoys working cross-functionally, thrives in a fast-paced, remote-first environment, and is excited to have a direct impact on business outcomes. If&#xa0;you’re&#xa0;someone who can balance autonomy with collaboration, navigate ambiguity with confidence, and communicate complex legal concepts in a simple, actionable way,&#xa0;you’ll&#xa0;be a strong fit for this role.&#xa0;</p><p><strong>Key Responsibilities</strong></p><p><em><strong>Legal Sales Support&#xa0;</strong></em></p><ul><li>Working as a team with sales to support, negotiate, review, and draft SaaS agreements (primarily using&#xa0;Nearmap’s&#xa0;MSA) and related agreements, including machine learning licensing provisions when applicable&#xa0;</li><li>Advising on legal risks associated with relevant contracts&#xa0;</li><li>Supporting the business with customer support requests and enquiries from the legal perspective and department specific legal issues&#xa0;</li><li>Providing applicable training to the commercial and government teams&#xa0;regarding&#xa0;legal concerns, such as risk exposure in sales contracts&#xa0;</li><li>Representing&#xa0;the company’s interests and interface directly with customer counsel and negotiating teams&#xa0;</li></ul><p><em><strong>General Legal Support&#xa0;</strong></em></p><ul><li>Providing training to relevant departments and rolling out compliance initiatives across the company&#xa0;</li><li>Staying abreast of legal developments affecting the company and its target industries and synthesize the information to incorporate it into company’s transactional practices&#xa0;</li><li>Assisting&#xa0;in overseeing and improving internal guidelines, toolkits, and packaged knowledge on various legal and business issues&#xa0;</li><li>Participate with senior lawyers and management to understand&#xa0;Nearmap’s&#xa0;business strategies and needs to maximise value&#xa0;</li><li>Serve as the legal POC for&#xa0;identified&#xa0;‘swimlanes’ beyond Sales, including reviewing and negotiating applicable procurement contracts&#xa0;and ad hoc partnering with the Finance team&#xa0;</li></ul><p><strong><em>Compliance</em></strong></p><ul><li>Keep up to date and&#xa0;comply with&#xa0;all local legislative requirements.&#xa0;</li><li>Adhere to company guidelines and the corporate Code of Conduct&#xa0;</li><li>Act in an ethical way when dealing with company assets and other people.&#xa0;</li></ul>",
