This role is embedded within the business and operates similarly to a Sales Deal Desk, partnering closely with Sales, Operations, and external legal counsel.</span></p>\n<p><span style=\"font-size: 12pt\">You will play a key role in reviewing, negotiating, and managing customer and partner agreements, while providing practical recommendations that balance legal risk with business objectives. Success in this role requires a strong understanding of commercial contracts, attention to detail, and the ability to navigate complex, multi-jurisdictional environments.</span></p>\n<p><span style=\"font-size: 12pt\"> </span></p>\n<p><span style=\"font-size: 12pt; font-weight: bold\">What You’ll Do</span></p>\n<ul>\n<li><span style=\"font-size: 12pt\">Review and analyze technology company sales contracts, including:</span>\n<ul>\n<li><span style=\"font-size: 12pt\">Master Services Agreements (MSAs)</span></li>\n<li><span style=\"font-size: 12pt\">SaaS and software licensing agreements</span></li>\n<li><span style=\"font-size: 12pt\">Customer sales agreements</span></li>\n<li><span style=\"font-size: 12pt\">Reseller and partner agreements</span></li>\n<li><span style=\"font-size: 12pt\">Professional services and managed services agreements</span></li>\n</ul>\n</li>\n<li><span style=\"font-size: 12pt\">Provide clear, business-oriented feedback and recommendations on contract terms, including suggested positions and fallback language</span></li>\n<li><span style=\"font-size: 12pt\">Act as a key contributor to the Sales Deal Desk function, supporting efficient deal structuring and contract execution</span></li>\n<li><span style=\"font-size: 12pt\">Identify, assess, and escalate legal and commercial risks in contracts</span></li>\n<li><span style=\"font-size: 12pt\">Coordinate with external legal counsel for guidance, escalations, and specialized review</span></li>\n<li><span style=\"font-size: 12pt\">Develop a strong understanding of Messagepoint’s products, services, and business operations to inform contract decisions</span></li>\n<li><span style=\"font-size: 12pt\">Review agreements for data privacy considerations, including handling of PII and PHI</span></li>\n<li><span style=\"font-size: 12pt\">Support contract negotiations involving customers across Canada and the U.S.</span></li>\n<li><span style=\"font-size: 12pt\">Maintain and manage contract templates, documentation, and version control</span></li>\n<li><span style=\"font-size: 12pt\">Contribute to the development and continuous improvement of contracting processes, playbooks, and standards</span></li>\n</ul>\n<p><span style=\"font-size: 12pt\"> </span></p>\n<p><span style=\"font-size: 12pt; font-weight: bold\">What You Bring</span></p>\n<ul>\n<li><span style=\"font-size: 12pt\">Paralegal certification or equivalent experience in corporate/commercial law</span></li>\n<li><span style=\"font-size: 12pt\">Strong experience reviewing and supporting negotiation of sales contracts in a SaaS or technology company</span></li>\n<li><span style=\"font-size: 12pt\">Solid understanding of commercial contract terms and risk considerations (non-lawyer role)</span></li>\n<li><span style=\"font-size: 12pt\">Experience working in or alongside a Sales Deal Desk or Sales Operations function</span></li>\n<li><span style=\"font-size: 12pt\">Familiarity with:</span>\n<ul>\n<li><span style=\"font-size: 12pt\">SaaS/software agreements</span></li>\n<li><span style=\"font-size: 12pt\">Professional services and managed services contracts</span></li>\n<li><span style=\"font-size: 12pt\">Reseller and partner agreements</span></li>\n</ul>\n</li>\n<li><span style=\"font-size: 12pt\">Ability to provide practical, business-focused recommendations on contract positions</span></li>\n<li><span style=\"font-size: 12pt\">Experience coordinating with external legal counsel</span></li>\n<li><span style=\"font-size: 12pt\">Knowledge of data privacy concepts, including PII and PHI</span></li>\n<li><span style=\"font-size: 12pt\">Experience working with customers across Canada and U.S.</span></li>\n<li><span style=\"font-size: 12pt\">Experience working with customers in Europe is an asset.</span></li>\n<li><span style=\"font-size: 12pt\">Exceptional attention to detail, organization, and time management skills</span></li>\n<li><span style=\"font-size: 12pt\">Strong communication and stakeholder management abilities</span></li>\n</ul>\n<p><br><br></p>\n<p><span style=\"font-size: 12pt;
