          "text": "<p><strong><u>JOB SUMMARY</u></strong><em><u> </u></em></p><p>O-I is seeking a dynamic and experienced <strong>Legal Counsel – Securities, Corporate Governance &amp; Capital Markets</strong> to join our global legal team. This role is ideal for a mid-level attorney with <strong>3–8 years of experience</strong> and a strong background in <strong>SEC reporting, corporate governance, and capital markets transactions</strong>.</p><p>You will serve as a strategic advisor to senior leadership, ensuring compliance with securities laws, managing public company obligations, and supporting high-impact financial transactions. This is a high-visibility role with cross-functional collaboration across finance, investor relations, treasury, and more.</p><p><strong><u>PRINCIPAL ACCOUNTABILITIES</u></strong></p><p><em>(All other duties as assigned)</em></p><p>As a key member of the legal team, you will provide strategic legal counsel on a wide range of securities and corporate governance matters to support O-I’s global operations. Your responsibilities will include:</p><ul><li>Advising on securities law and corporate governance issues.</li><li>Drafting and reviewing SEC filings, including Forms 10-K, 10-Q, 8-K, Section 16 filings, registration statements, proxy statements, and other regulatory disclosures.</li><li>Providing legal support for capital markets transactions and bank credit agreements.</li><li>Ensuring public disclosures (e.g., press releases) meet SEC and other regulatory requirements.</li><li>Managing the company’s insider trading policy and 10b5-1 trading plans.</li><li>Overseeing public company obligations such as annual shareholder meeting planning, director and officer questionnaires, related party transactions, and compliance calendars.</li><li>Supporting board and committee matters, including preparing materials, drafting minutes, and updating charters and policies.</li><li>Advising on corporate governance best practices, shareholder engagement, and proxy advisor considerations.</li><li>Maintaining and updating governance documents, policies, and internal guidelines.</li><li>Supporting global entity management and corporate secretarial functions.</li><li>Collaborating cross-functionally with finance, treasury, corporate accounting, investor relations, internal audit, and communications.</li><li>Leading or contributing to special projects and initiatives as assigned.</li></ul>",
