Your Role: Reporting to the General Counsel, as Senior Legal Counsel - Corporate & Compliance, you’ll be a key legal leader driving strategic legal initiatives across Faraday Future’s global operations. You’ll collaborate with senior leadership, oversee outside counsel, and serve as a principal advisor on securities filings, governance, legal compliance, contract review and negotiation, and internal investigations. Responsibilities: Assist in the creation of a compliant legal system suitable for a public company Lead public company compliance requirements, SEC filings Manage government reporting on various compliance matters Responsible for reviewing all contracts including supply chain contracts, consulting agreements, securities purchase agreements, NDAs, etc. Counsel company management on legal and ethical compliance laws, regulations, and governance Develop and implement a comprehensive program for legal and ethical compliance that meets all applicable legal requirements and industry standards Develop and implement training regimens for compliance and governance topics Manage other legal functions that support corporate internal operation including IP, labor and others Implement and manage compliance policies, protocols, and training Audit company procedures, policies, and practices to identify potential risks Investigate allegations of legal and ethical compliance violations Work seamlessly and collaboratively within the legal team and as a legal business partner to multiple internal business stakeholders Strong personal ethics code and integrity Basic Qualifications: Education & Licensure Juris Doctor (J.D.) degree from an accredited law school Active membership in good standing with at least one U.S. state bar Experience Minimum 10 years of legal experience, including significant in-house and/or top-tier law firm experience Demonstrated experience supporting public company compliance initiatives and corporate governance matters Strong experience drafting, reviewing, and negotiating a broad range of commercial agreements, including: Non-disclosure agreements (NDAs) Supply chain and vendor agreements Consulting and services agreements Technology transactions Joint development agreements University research agreements Securities purchase agreements Experience advising business stakeholders on intellectual property rights, strategic partnerships, and product development matters Proven experience counseling management and HR teams on labor and employment law matters, including employee relations, workplace investigations, accommodations, disciplinary actions, and dispute resolution Experience conducting internal investigations and compliance audits while preserving legal privilege Experience developing and implementing compliance programs, policies, and employee training initiatives Experience supporting cross-functional teams including Supply Chain, Engineering, Finance, Human Resources, and Operations Experience in manufacturing, technology, life sciences, or other regulated industries is a MUST Legal Knowledge & Technical Expertise Strong understanding of corporate governance, compliance frameworks, and public company legal requirements Knowledge of federal and state employment and labor laws, including wage and hour compliance, accommodation, leave laws, anti-discrimination regulations, and workplace investigations Understanding of intellectual property principles, technology transactions, and commercial contract risk management Knowledge of compliance reporting obligations and regulatory requirements Ability to identify legal, operational, and reputational risks and develop practical mitigation strategies Skills & Competencies Excellent drafting, negotiation, and contract interpretation skills Strong analytical and problem-solving abilities with sound legal and business judgment Ability to communicate complex legal concepts clearly to executive leadership and non-legal stakeholders Strong interpersonal and relationship-building skills with the ability to influence cross-functional teams Ability to manage multiple priorities and work effectively in a fast-paced environment Strong organizational skills and attention to detail Ability to maintain confidentiality and exercise discretion in sensitive matters Proven ability to develop practical, business-oriented legal solutions Leadership & Collaboration Ability to work collaboratively as a strategic legal business partner across all levels of the organization Demonstrated ability to lead compliance initiatives and drive accountability across departments Experience developing and conducting employee training programs related to legal compliance, governance, ethics, and employment matters Ability to independently manage complex legal matters while coordinating effectively with internal and external stakeholders Personal Attributes High degree of integrity, professionalism, and ethical judgment Strong personal ethics and commitment to corporate compliance Proactive, solutions-oriented mindset with strong accountability Ability to build trust and credibility throughout the organization Sound decision-making skills under pressure and in ambiguous situations Preferred Qualifications: Additional certifications in corporate compliance, employment law, or corporate governance are a plus Experience managing SEC filings and regulatory reporting requirements, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings preferred Prior experience managing outside counsel and coordinating legal support across multiple business functions preferred Familiarity with SEC regulations, securities laws, and corporate disclosure requirements preferred Experience assisting a private company in preparing for public company readiness Familiarity with compliance management systems and governance best practices Experience with litigation management and employment-related claims Working knowledge of intellectual property protection and licensing matters Experience developing enterprise-wide compliance and ethics training programs Ability to support the development, implementation, and maintenance of company policies and procedures designed to minimize legal and compliance risks Experience assisting with internal investigations, including maintaining legal privilege, assessing risk, and providing strategic guidance on investigative outcomes and corrective actions.
