    "ExternalDescriptionStr": "<p>Sedgman is expanding its presence across the Americas, and we are seeking an experienced Senior Legal Counsel North America to support our growing Mining &amp; Minerals business.</p><p>Based in Vancouver, BC, the ideal incumbent will have experience in engineering and the construction industry, preferably in the mining sector, and will have a strong understanding of the concepts and potential risks associated with feasibility studies, detailed design and through to project delivery. We require demonstrated experience in providing accurate, commercial and timely legal advice to the business to ensure legal / contractual risks are appropriately managed and the development, implementation and monitoring of appropriate risk management strategies are implemented in accordance with our commercial limits.</p><p>This includes assisting with day to day management of legal function and compliance with reporting requirements and corporate governance policies.</p><p><strong>As the Senior Legal Counsel North America, you will be a member of the North American leadership team and responsible for:</strong></p><ul><li>Acting as the primary legal contact on North American projects / contracts for the N.A. offices and regions</li><li>Providing high quality and practical advice on engineering and construction law matters to assist the business in critical decision making</li><li>Providing high quality advice and guidance to the business on day to day legal matters in a timely way</li><li>Reviewing head contract conditions and subcontract qualifications and advise on issues to be addressed to ensure corporate compliance</li><li>Negotiating / drafting contract amendments and close out of head contracts and subcontracts</li><li>Sign-off on compliance of contracts in line with Sedgman risk management policy prior to execution</li><li>Rolling out Sedgman training on contract fundamentals &nbsp;</li><li>Assisting with development of appropriate responses to deal with issues arising under contracts during the construction/operational phase, with particular focus on early dispute resolution.</li><li>Conforming subcontract suite with individual head contracts and issue to project procurement team</li><li>Management of company secretary activities for the North American entities and North American compliance (e.g. Fighting Against Forced Labour and Child Labour in Supply Chains reporting)</li><li>Assisting General Counsel and Company Secretary with ad hoc legal and governance requirements</li><li>Mentoring legal counsel and law clerks</li></ul><p>&nbsp;</p><p><strong>You are an experienced Senior Legal Counsel with the following qualifications and background:</strong></p><ul><li>Bachelor of Law degree and be a member of a Bar for at least 8 years.</li><li>Must have a minimum of 4 years’ experience working for an Engineering / Consulting /EPC/M firm in engineering and/or construction law.</li><li>Experience in construction, commercial and contract law, including negotiating and drafting of EPCM and/or EPC contracts is essential.&nbsp;</li><li>Excellent communication, negotiation and presentation skills, with the ability to simplify complex legal concepts, influence senior stakeholders, and lead effective conflict resolution.</li><li>Mining industry knowledge is an asset with experience in construction/engineering, partnerships (joint ventures/alliances) and major projects (alternative delivery such as collaborative agreements, alliance agreements and integrated project delivery (IPD) agreements and strategic projects).</li><li>Ability to work in a dynamic environment, handle heavy volume of legal review requests and manage competing priorities.</li><li>High degree of autonomy and excellent organizational and time management skills; ability to take initiative and work with minimal supervision.</li><li>Must be eligible to work in Canada without sponsorship</li></ul><p>&nbsp;</p><p><strong>What We Offer</strong></p><ul><li>Competitive Compensation/ Remuneration package (Discretionary bonus, Health benefits, RRSP matching) </li><li>A driven team, and a dynamic &amp; enthusiastic environment</li><li>Global business opportunities, with an exciting, diverse and challenging pipeline of work (<i>International relocation opportunities</i>)</li><li>Potential assignment opportunities (<i>at project sites, or in other design office locations serviced by Sedgman and other CIMIC group operating companies.)</i></li><li>Working for a business that values and recognizes your efforts</li><li>Working for an organization that values and encourages volunteerism and nourishes the need to give back to your community/support a charity.</li></ul><p>Salary Range : $165,000 to $250,000</p><p>Sedgman is a proud equal opportunities employer, and we are committed to creating a respectful, inclusive, and barrier-free workplace that allows all our people to reach their full potential.
