Counsel will be responsible for providing legal counsel and services to subsidiaries in one of the Company&rsquo;s two segments &ndash; Infrastructure Solutions (&ldquo;IPS Group&rdquo;) &ndash; on a broad range of corporate and commercial matters. &nbsp;The chosen candidate will work directly with the business and support functions providing proactive legal support and counsel as well as leadership supporting senior management as &ldquo;legal business partner&rdquo; for the IPS Group. &nbsp;The AGC for IPS Group is a member of the senior leadership team and will support the Group&rsquo;s long-term business objectives consistent with the overall legal strategy of the Company.</span></p><p style='margin-top:0in;margin-right:0in;margin-bottom:8.0pt;margin-left:0in;line-height:107%;font-size:15px;font-family:\"Calibri\",sans-serif;'>&nbsp;</p><p style='font-family:\"Arial\",sans-serif;font-size:12.0pt;'>Provide legal advice and counsel to IPS Group and legal and management stakeholders for various commercial transactions, including structuring, drafting, reviewing, and negotiating agreements and working with the business to establish optimal standard contract terms with high-value/significant clients</span></li><li><span style='font-family:\"Arial\",sans-serif;font-size:12.0pt;'>Help further the use of contracting playbooks, contract templates and clause libraries, legal process workflows, and other tools to help scale the legal function</span></li><li><span style='font-family:\"Arial\",sans-serif;font-size:12.0pt;'>Managing and advising on pre-litigation matters/contractual disputes affecting the segment</span></li><li><span style='font-family:\"Arial\",sans-serif;font-size:12.0pt;'>Assisting with rolling out compliance policies&nbsp;</span></li><li><span style='font-family:\"Arial\",sans-serif;font-size:12.0pt;'>Assist in the establishment, implementation, and communication of formal policies, processes and procedures with respect to contract lifecycle management</span></li><li><span style='font-family:\"Arial\",sans-serif;font-size:12.0pt;'>Collaborate with teams across Astec Industries, including sales, revenue operations, product, finance, procurement, and human resources</span></li><li><span style='font-family:\"Arial\",sans-serif;font-size:12.0pt;'>Selecting and supervising outside counsel to provide critical support on
