We are seeking a dedicated and experienced Legal Counsel to lead complex corporate transactions, including drafting and negotiating SPAs and Shareholders’ Agreements, while supporting investor structuring and navigating the Cyprus real estate framework.</em></span></p>\n<p><br><br></p>\n<p><span style=\"font-family: arial, helvetica, sans-serif; font-size: 12pt\">Location : <span style=\"font-weight: bold\">Limassol</span></span></p>\n<p><span style=\"font-family: arial, helvetica, sans-serif; font-size: 12pt\">Reporting to : <span style=\"font-weight: bold\">Chief Legal Officer</span></span></p>\n<p><br><br></p>\n<p><span style=\"font-weight: bold\">Main Tasks include:</span></p>\n<ul>\n<li><em>Commercial Contracts</em> : Drafting, reviewing, and negotiating commercial agreements, including joint ventures, share purchase agreements, shareholders’ agreement, pledge agreements, investment framework agreements, promissory notes and service agreements.<br></li>\n<li><em>Corporate formation and administration</em> : Establishing Cyprus companies (and in other jurisdictions), preparing Memorandum and Articles of Association, maintaining corporate registers.</li>\n<li><em>Corporate governance &amp; advisory</em> : Advising on company law, directors' fiduciary duties and compliance with anti-money laundering (AML) and Know Your Customer (KYC) requirements.</li>\n<li><em>Banking &amp; Finance</em>: Handling loan agreements, restructuring, re-domiciliation of companies, and securing financial collateral.</li>\n<li><em>Real Estate &amp; Development</em>: Provide legal support across the full lifecycle of real estate developments, Work closely with internal teams (finance, development, sales) on project structuring, overseing external counsel where required.</li>\n</ul>\n<ul>\n<li><em>Investor Relations</em>: Act as a legal point of contact for investors and partners, Support negotiations and communications with local and international stakeholders, Ensure alignment between commercial objectives and legal risk management.</li>\n</ul>\n<p><br></p>\n<p><span style=\"font-weight: bold\">Requirements for the position:</span></p>\n<ul>\n<li>A qualified lawyer must be <span style=\"font-weight: bold\">a member of the Cyprus Bar Association.</span><br></li>\n<li>Work experience of at least 5 years post qualification.</li>\n<li><span style=\"font-weight: bold\">Fluent Greek and English.</span></li>\n<li>Excellent communication skills, particularly with senior stakeholders and investors.</li>\n<li><span style=\"font-weight: bold\">Proven experience drafting and negotiating SPAs and Shareholders’ Agreements.</span></li>\n<li><span style=\"font-weight: bold\">Solid understanding of corporate structuring and investor arrangements.</span></li>\n<li><span style=\"font-weight: bold\">Familiarity with Cyprus real estate and development framework is highly desirable.</span></li>\n<li>Ability to manage multiple high-value projects simultaneously.</li>\n<li>Ability to work autonomously within a fast-paced environment.</li>\n</ul>\n<p><br></p>\n<p><span style=\"font-weight: bold\">What We Offer:</span></p>\n<ul>\n<li>Opportunity to work on high-profile real estate developments in Cyprus.</li>\n<li>Exposure to international investors and complex transactions.</li>\n<li>13th Salary &amp; an established bonus system.</li>\n<li>Collaborative in-house legal team environment.</li>\n</ul>\n<p><br></p>\n<p><br></p>\n<p><span style=\"font-family: arial, helvetica, sans-serif; font-size: 12pt\"><em>At<span> </span><span style=\"font-weight: bold\">bbf:</span> our <span style=\"font-weight: bold\">values </span>shape everything we do.</em></span></p>\n<p><span style=\"font-family: arial, helvetica, sans-serif; font-size: 12pt\"><em>We are <span style=\"font-weight: bold\">sharp </span>in our thinking, <span style=\"font-weight: bold\">creative </span>in our approach, and <span style=\"font-weight: bold\">emotionally intelligent</span> in how we connect with others.
