Description Position Summary The Corporate Counsel serves as a key member of the legal team and provides practical, business-oriented legal advice to support the Company's operations, strategic objectives, and compliance obligations. The Corporate Counsel will be responsible for managing employment law matters, drafting and negotiating commercial agreements, protecting the Company's intellectual property assets, and advising on government regulatory and compliance requirements. The ideal candidate will possess 6–8 years of relevant legal experience and demonstrate strong judgment, risk assessment skills, and the ability to partner effectively with business leaders across the organization. This position is based in Salt Lake City, Utah, which is the primary work location for the role. A hybrid work arrangement may be permitted in accordance with Company policy and business needs; however, this position is not eligible for fully remote or remote-only work. Employees are expected to perform work on-site in Salt Lake City on a regular basis as determined by the Company. Essential Duties and Responsibilities Employment Law Provide legal advice and guidance on a broad range of employment-related matters, including hiring, discipline, performance management, employee relations, accommodations, leaves of absence, wage and hour compliance, reductions in force, and employee separations. Draft, review, and revise employment agreements, offer letters, restrictive covenant agreements, severance agreements, and workplace policies. Support Human Resources in conducting internal investigations and responding to employee complaints. Advise management regarding compliance with federal, state, and local employment laws and regulations. Manage employment-related disputes, administrative charges, demand letters, and litigation matters in coordination with outside counsel as necessary. Commercial Contracts Draft, review, negotiate, and manage a wide range of commercial agreements, including customer contracts, supplier agreements, licensing agreements, non-disclosure agreements, service agreements, consulting agreements, and strategic partnership agreements. Provide timely legal guidance to business stakeholders regarding contractual rights, obligations, and risk mitigation strategies. Develop and maintain contract templates, playbooks, and standard legal processes to improve efficiency and consistency. Support contract lifecycle management and ensure adherence to internal approval processes. Intellectual Property Assist in the development, protection, tracking, maintenance, and enforcement of the Company's intellectual property portfolio, including patents, trademarks, copyrights, trade secrets, and proprietary technology. Review and advise on intellectual property ownership, licensing, and technology transfer issues. Support product development, engineering, marketing, and business teams on intellectual property risks and protection strategies. Coordinate with outside intellectual property counsel regarding filings, registrations, enforcement actions, and portfolio management. Government Regulatory and Compliance Monitor and advise on applicable federal, state, local, and international laws, regulations, and government requirements affecting the Company's business operations. Provide legal guidance regarding export controls, defense trade controls, government contracting, and regulatory compliance matters, including demonstrated knowledge of the Export Administration Regulations (EAR), International Traffic in Arms Regulations (ITAR), Defense Federal Acquisition Regulation Supplement (DFARS), and related U.S. government compliance requirements. Support the development, implementation, and maintenance of regulatory compliance programs, policies, procedures, internal controls, and employee training initiatives. Assist with government contracting, procurement, licensing, reporting, audits, disclosures, and regulatory inquiries, as applicable. Conduct legal research and provide guidance regarding emerging regulatory developments, compliance risks, and industry best practices. Support internal audits, investigations, compliance assessments, and corrective action initiatives. Partner with business leaders to identify, assess, and mitigate legal and regulatory risks associated with domestic and international operations. Corporate and General Legal Support Provide day-to-day legal counseling to business leaders and functional departments under the direction of the General Counsel. Assist with corporate governance, corporate records, subsidiary management, and board-related matters under the direction of the General Counsel. Develop and deliver legal training programs for employees and management. Support mergers and acquisitions, strategic transactions, and other special projects as assigned. Promote legal risk awareness and a culture of compliance throughout the organization. Required Qualifications Juris Doctor (J.D.) degree from an accredited law school. Active membership in good standing with at least one U.S. state bar. 6–8 years of legal experience, preferably combining law firm and in-house experience. Significant experience in employment law counseling and compliance. Demonstrated experience drafting and negotiating complex commercial agreements. Experience advising on intellectual property matters and portfolio management. Demonstrated knowledge of export control regulations, defense trade compliance, and government contracting requirements, including EAR, ITAR, and DFARS. Familiarity with government regulatory frameworks, compliance programs, and government contracting environments. Experience supporting companies operating in highly regulated industries, including aerospace, defense, unmanned systems, communications, or advanced technology sectors, is preferred. Prior experience with Federal Aviation Administration (FAA) regulations, Federal Communications Commission (FCC) regulations, spectrum licensing, aviation compliance, or related regulatory matters is strongly preferred. Strong analytical, communication, negotiation, and project management skills. Ability to manage multiple priorities and work effectively in a fast-paced business environment. Physical Requirements and Working Conditions Must be able to walk, stand, and navigate large indoor and outdoor facilities for extended periods of time. Ability to lift, carry, and move materials and equipment weighing up to 25 lbs on a regular basis. Use of personal protective equipment (PPE) may be required in designated areas or when performing specific tasks, in accordance with safety protocols and company policy. May be required to climb ladders, stoop, kneel, or crouch during inspections, maintenance walk-throughs, or emergency response situations. Regular exposure to facility operations including noise, dust, temperature fluctuations, and industrial equipment. Occasional off-hours or weekend work required for emergency facility responses or projects as needed Requires frequent use of a computer and other standard office equipment for documentation, communication, and coordination tasks. Background Check This position will require successfully completing a post-offer background check. Qualified candidates with a criminal history will be considered and are not automatically disqualified, consistent with federal and state law.
