Description Cozen O’Connor LLP is seeking an experienced full‑time Law Clerk to join our Corporate/Securities practice group in the Toronto office. This presents an exciting opportunity to be part of and support a dynamic and growing team. The Senior Corporate/Securities Law Clerk is a subject-matter resource and file-lead on complex corporate services and securities workstreams. This position often runs the clerk-side execution of transactions and compliance programs; mentors juniors; standardizes and owns processes; and proactively manages risk, deadlines, and regulator/exchange interactions—while operating under lawyer direction. This position handles complex multi entity and multi jurisdiction work. This is a hybrid role with three (3) days per week required onsite. Onsite requirements may evolve over time, and occasional work outside standard business hours may be required. The first 30 days will be onsite full-time to ensure a smooth onboarding experience with hands-on training and collaboration. Responsibilities Corporate Law Clerk Duties Independently manage incorporations/organizations, amendments, amalgamations, continuances, dissolutions, and extra provincial/territorial registrations, including troubleshooting filing issues and coordinating multi jurisdiction requirements; Oversee minute book integrity and maintenance standards; manage entity databases; implement controls for statutory filings and reminders; ensure records are complete, accurate, current, and audit/transaction ready; Review and analyze corporate records; recommend corrective actions; draft rectification documentation and coordinate approvals/executions to remediate deficiencies; Run the clerk function on share/asset transactions, reorganizations, and corporate finance transactions; prepare closing agendas/checklists; manage signature process; assemble closing sets; and coordinate post-closing filings and closing books; Oversee share issuances/transfers/redemptions and equity plan documentation; coordinate corporate approvals and ensure corporate records reflect securities/equity events (including subsidiaries); Lead preparation and coordination of board and shareholder meeting packages (notices/agendas/resolutions/minutes/scripts where applicable), including execution logistics and recordkeeping; Oversee corporate searches and diligence compilation; provide summarized findings and manage document flow for deal teams; Coordinate day to day corporate services operations; implement best practices; develop/maintain precedents and checklists; and ensure consistent procedures are followed; Train and mentor junior clerks; review their work for accuracy; delegate tasks appropriately; and provide technical guidance to improve team throughput and quality; Monitor developments in relevant corporate requirements and update internal processes/precedents accordingly (in coordination with counsel). Security Clerk Duties Independently manage clerking workstreams for prospectus offerings and brokered/non brokered private placements, including document assembly, schedules, closing deliverables, and post-closing securities filings; Coordinate the workflow and drafting/production of disclosure documents (e.g., news releases and material change reports) and manage timelines across internal and external stakeholders; Prepare/submit and quality-check filings; manage receipts; resolve filing rejections/deficiencies; and liaise with regulators/exchanges on procedural issues; Conduct and supervise issuer disclosure searches on SEDAR+ and provide compiled results for lawyers/deal teams; Lead clerk-side execution of registration and NRD-related filings (dealer/adviser/IFM and exempt registrant filings where applicable), including managing annual/periodic updates and notices of change; Handle day-to-day communications with clients, legal professionals and (procedural) regulator contacts to obtain information, confirm timelines, and report on filing status. Qualifications Law Clerk diploma or equivalent from a recognized Ontario program; 8+ years of law clerk experience in: corporate law (required), securities / capital markets (strongly preferred); ILCO certification or equivalent professional designation strongly preferred; Experience in a large law firm or sophisticated corporate/in-house environment highly preferred; Strong technical aptitude and enthusiasm for continuous improvement and upskilling; Outstanding written and verbal communication with the ability to professionally interact with clients, lawyers, and all levels of the Firm; Advanced proficiency with Microsoft Office; Closing Folders, SEDAR+, SEDI, stock exchange filing systems (TSX, TSXV, CSE); Corplink, Disclosure net; Advanced working knowledge of: OBCA / CBCA corporate procedures (incorporations, governance, filings), corporate filing platforms (e.g. OnCorp, Cyberbahn), securities regulatory regime (continuous disclosure, prospectus rules, exemptions) document management systems and corporate databases; Significant knowledge of securities law concepts (private placements, public disclosure frameworks); Strong understanding of corporate governance documentation and processes, transactional closing processes and documentation; Ability to work efficiently and effectively under pressure, with exceptional time management skills; Ability to work effectively both independently and as part of a team to maintain smooth workflows. The expected annual base salary range for this position is $90,000 - $120,000 and is eligible for an annual, discretionary bonus. The offered salary will be determined based on factors such as job knowledge, skillset, experience, and internal and market equity.     "InternalResponsibilitiesStr": "<p><strong>Corporate Law Clerk Duties&nbsp;</strong></p><ul><li>Independently manage incorporations/organizations, amendments, amalgamations, continuances, dissolutions, and extra provincial/territorial registrations, including troubleshooting filing issues and coordinating multi jurisdiction requirements; &nbsp;</li><li>Oversee minute book integrity and maintenance standards; manage entity databases; implement controls for statutory filings and reminders; ensure records are complete, accurate, current, and audit/transaction ready;</li><li>Review and analyze corporate records; recommend corrective actions; draft rectification documentation and coordinate approvals/executions to remediate deficiencies;</li><li>Run the clerk function on share/asset transactions, reorganizations, and corporate finance transactions; prepare closing agendas/checklists; manage signature process; assemble closing sets; and coordinate post-closing filings and closing books;</li><li>Oversee share issuances/transfers/redemptions and equity plan documentation; coordinate corporate approvals and ensure corporate records reflect securities/equity events (including subsidiaries);</li><li>Lead preparation and coordination of board and shareholder meeting packages (notices/agendas/resolutions/minutes/scripts where applicable), including execution logistics and recordkeeping;</li><li>Oversee corporate searches and diligence compilation; provide summarized findings and manage document flow for deal teams;</li><li>Coordinate day to day corporate services operations; implement best practices; develop/maintain precedents and checklists; and ensure consistent procedures are followed;</li><li>Train and mentor junior clerks; review their work for accuracy; delegate tasks appropriately; and provide technical guidance to improve team throughput and quality;</li><li>Monitor developments in relevant corporate requirements and update internal processes/precedents accordingly (in coordination with counsel).<br>&nbsp;</li></ul><p>&nbsp;</p><p><strong>Security Clerk Duties&nbsp;</strong></p><ul><li>Independently manage clerking workstreams for prospectus offerings and brokered/non brokered private placements, including document assembly, schedules, closing deliverables, and post-closing securities filings;</li><li>Coordinate the workflow and drafting/production of disclosure documents (e.g., news releases and material change reports) and manage timelines across internal and external stakeholders;</li><li>Prepare/submit and quality-check filings; manage receipts; resolve filing rejections/deficiencies; and liaise with regulators/exchanges on procedural issues;</li><li>Conduct and supervise issuer disclosure searches on SEDAR+ and provide compiled results for lawyers/deal teams;</li><li>Lead clerk-side execution of registration and NRD-related filings (dealer/adviser/IFM and exempt registrant filings where applicable), including managing annual/periodic updates and notices of change;</li><li>Handle day-to-day communications with clients, legal professionals and (procedural) regulator contacts to obtain information, confirm timelines, and report on filing status.</li></ul>",
