You will take the lead in managing our corporate governance matters and overseeing Grouper's intellectual property and technology transactions. Additionally, you'll play a key role in handling all commercial transactions and other legal matters. </p>\n<p><br></p>\n<p><br></p>\n<p>Responsibilities:</p>\n<p><br></p>\n<ul>\n<li><span style=\"font-weight: bold;\">Crafting corporate governance documents:</span> Prepare materials such as board minutes, resolutions, and presentations.</li>\n<li><span style=\"font-weight: bold;\">Drafting, assessing, and negotiating agreements:</span> Handle various commercial contracts, including NDAs, software licences, SaaS subscription agreements, service contracts, employment agreements, and consulting contracts.</li>\n<li><span style=\"font-weight: bold;\">Evaluating products and initiatives:</span> Assess the legal risks associated with products, features, platforms, and initiatives, and develop effective risk management strategies.</li>\n<li><span style=\"font-weight: bold;\">Providing legal advice:</span> Offer guidance to product, engineering, and other teams, identifying and protecting patentable products, services, and technologies.</li>\n<li><span style=\"font-weight: bold;\">Maintaining legal records:</span> Keep a repository of legal documents updated, including contracts, templates, and corporate governance materials.</li>\n<li><span style=\"font-weight: bold;\">Managing intellectual property:</span> Oversee owned and licensed intellectual property, collaborating with external legal counsel on trademark and patent applications, and other IP matters.</li>\n<li><span style=\"font-weight: bold;\">Supporting compliance and litigation:</span> Assist with company compliance efforts and handle litigation matters as needed.</li>\n<li><span style=\"font-weight: bold;\">Engaging with external counsel:</span> Communicate and collaborate with external legal counsel on legal matters when necessary.</li>\n<li><span style=\"font-weight: bold;\">Staying informed:</span> Stay up-to-date with relevant legal principles, practices, and trends.</li>\n<li><span style=\"font-weight: bold;\">Anticipating challenges:</span> Proactively identify potential challenges and develop innovative solutions to support our business strategy.</li>\n</ul>\n<p><br></p>\n<p><span style=\"color: #0d0d0d;\"><span style=\"font-size: 18px;
