This role partners closely with Sales, Operations, and leadership to support deal execution while protecting the company’s legal and commercial interests.</span></p>\n<p><span style=\"font-size: 12pt\"> </span></p>\n<p><span style=\"font-size: 12pt\">As a trusted advisor to the business, you will take ownership of contract strategy and risk decisions, ensuring alignment with company objectives while navigating complex, multi-jurisdictional requirements.</span></p>\n<p><br><br></p>\n<p><span style=\"font-size: 12pt; font-weight: bold\">What You’ll Do</span></p>\n<ul>\n<li><span style=\"font-size: 12pt\">Lead the review, drafting, and negotiation of technology company sales contracts, including:</span></li>\n<li><span style=\"font-size: 12pt\">Master Services Agreements (MSAs)</span></li>\n<li><span style=\"font-size: 12pt\">SaaS and software licensing agreements</span></li>\n<li><span style=\"font-size: 12pt\">Customer sales agreements</span></li>\n<li><span style=\"font-size: 12pt\">Reseller and partner agreements</span></li>\n<li><span style=\"font-size: 12pt\">Professional services and managed services agreements</span></li>\n<li><span style=\"font-size: 12pt\">Determine and own the company’s legal position on contract terms, balancing risk and commercial priorities</span></li>\n<li><span style=\"font-size: 12pt\">Provide strategic legal guidance to Sales, Deal Desk, and business stakeholders to support efficient deal execution</span></li>\n<li><span style=\"font-size: 12pt\">Develop a deep understanding of Messagepoint’s products, services, and business operations to inform legal advice</span></li>\n<li><span style=\"font-size: 12pt\">Identify, assess, and mitigate legal and regulatory risks, including those related to data privacy (PII, PHI)</span></li>\n<li><span style=\"font-size: 12pt\">Support and lead contract negotiations with customers across Canada and the U.S.</span></li>\n<li><span style=\"font-size: 12pt\">Collaborate with external counsel as needed for jurisdiction-specific or specialized matters</span></li>\n<li><span style=\"font-size: 12pt\">Contribute to the development of contract templates, playbooks, and negotiation strategies</span></li>\n<li><span style=\"font-size: 12pt\">Ensure compliance with applicable laws, regulations, and internal policies</span></li>\n</ul>\n<p><br><br></p>\n<p><span style=\"font-size: 12pt; font-weight: bold\">What You Bring</span></p>\n<ul>\n<li><span style=\"font-size: 12pt\">Law degree (LL.B. or J.D.) and membership in good standing with a relevant bar</span></li>\n<li><span style=\"font-size: 12pt\">Strong experience reviewing and negotiating commercial contracts in a SaaS or technology company</span></li>\n<li><span style=\"font-size: 12pt\">Deep understanding of contract law, risk allocation, and negotiation strategy</span></li>\n<li><span style=\"font-size: 12pt\">Proven ability to make sound legal decisions and advise on company positions</span></li>\n<li><span style=\"font-size: 12pt\">Experience with:</span></li>\n<li><span style=\"font-size: 12pt\">SaaS/software agreements</span></li>\n<li><span style=\"font-size: 12pt\">5-7 years professional services and managed services contracts</span></li>\n<li><span style=\"font-size: 12pt\">Reseller and partner agreements</span></li>\n<li><span style=\"font-size: 12pt\">Strong negotiation and stakeholder management skills</span></li>\n<li><span style=\"font-size: 12pt\">Knowledge of data privacy frameworks, including handling of PII and PHI</span></li>\n<li><span style=\"font-size: 12pt\">Experience working with customers across multiple jurisdictions (Canada, U.S).</span></li>\n<li><span style=\"font-size: 12pt\">Experience working with customers in Europe is an asset.</span></li>\n<li><span style=\"font-size: 12pt\">Exceptional attention to detail, judgment, and problem-solving skills</span></li>\n</ul>\n<p><br><br></p>\n<p><span style=\"font-size: 12pt;
