Prospect has a long-term, value-oriented approach that employs fundamental bottoms-up research to identify investments that offer attractive risk and reward.</p>\n<p> </p>\n<p>With headquarters in New York City, the firm is comprised of 100+ experienced professionals who value entrepreneurship, intellectual rigor, hard work and continuous improvement.</p>\n<p><br><br></p>\n<p><span style=\"font-weight: bold\"><span style=\"text-decoration: underline\">The Position</span></span><span style=\"text-decoration: underline\">:</span></p>\n<p>Seeking a top performing mid-senior level attorney for private credit, debt and equity finance, and other corporate transactional work.  Extensive transactional experience with middle‑market private debt and equity transactions (with a focus on lender or sponsor representation) is strongly preferred.  Candidate must have excellent drafting, negotiation, issue spotting, and analytical skills.</p>\n<p><br></p>\n<p><span style=\"font-weight: bold\"><span style=\"text-decoration: underline\">Desired Skills and Experience:</span></span></p>\n<p>The ideal candidate will have a JD degree from a top accredited U.S. law school with strong academic credentials and a minimum of 5 years of relevant experience at a top-tier law firm or in-house legal department:</p>\n<ul>\n<li>Structuring, negotiating and executing a broad array of financing and buyout transactions, including middle-market sponsor-led acquisition financings (loans and equity);</li>\n<li>Leading and advising deal teams through all phases of the transaction lifecycle, including origination, documentation, negotiation, closings, amendments, restructurings and exits;</li>\n<li>Drafting, reviewing and negotiating early-stage loan and equity documentation, including term sheets, commitment letters, IOIs and LOIs.</li>\n<li>Drafting, reviewing and negotiating complex loan and security documentation, such as credit agreements, security documents, intercreditor and subordination agreements, guaranties, and other transactional documents;</li>\n<li>Advising on multi-lender loan syndications, liability management transactions (LMEs), unitranche/FOLO structures, and other syndicated loan market terms;</li>\n<li>Leading and advising deal teams on corporate governance and corporate transactional matters relating to Prospect’s controlled portfolio companies and other portfolio investments, including buyouts, mergers &amp; acquisitions, asset dispositions, workouts, and restructurings;</li>\n<li>Managing multiple transactional matters simultaneously in a fast-paced environment;</li>\n<li>Coordinate and supervise outside counsel, including management of legal costs; and</li>\n<li>Special projects</li>\n</ul>\n<p><span style=\"font-weight: bold\"><br></span></p>\n<p><span style=\"font-weight: bold\"><span style=\"text-decoration: underline\">Individual Opportunity and Culture:</span></span></p>\n<p>Opportunity for autonomy and personal growth -- to be the best you can be -- in a high performance, entrepreneurial, intellectually challenging and vibrant investment firm, where personal and business goals are achieved and exceeded.</p>\n<p>  </p>\n<p>The anticipated base salary range for this position is $250,000 - $300,000 plus an annual discretionary performance-based bonus.
