The individual will work closely with the sales team on complex negotiations to close deals. Corporate Counsel will work collaboratively across multiple departments to administer and reinforce privacy and cybersecurity.&nbsp;<span>&nbsp;</span>As a successful counsel in this role, your major responsibilities include preparing and negotiating client, vendor, product and other related agreements; providing counsel to business and technology leaders; and liaising with other internal firm services team members regarding intellectual property, technology, cyber security and privacy matters.</span></p><p><span>Responsibilities:</span></p><ul style=\"list-style-type: disc; padding-left: 24px;\"><li><span><strong>Issue Spotting &amp; Document Review:&nbsp;</strong>&nbsp;review legal documents and identify issues related to </span><span style=\"background-color: white; color: rgb(29, 28, 29);\"><span>NDAs, LOIs/MOUs, Master Services Agreements, SOWs, “software as a service” agreements in an international context.</span></span></li><li><span><strong>Drafting:</strong>&nbsp; draft legal documentation based on instructions from the business&nbsp;</span></li><li><span><strong>Negotiation:</strong>&nbsp; independently negotiate a variety of legal documents.&nbsp;</span></li><li><span><strong>Legal Administration</strong>: high attention to detail as one of the few gatekeepers of legal documentation.</span></li><li><span><strong>Legal Operations</strong>: assist in building and streamlining legal processes&nbsp;</span></li><li><span style=\"background-color: white; color: rgb(29, 28, 29);\"><strong>Privacy</strong>: keeping up to date on privacy issues and support Director of Legal in administering Resolver’s privacy and data security program</span></li><li><span style=\"background-color: white; color: rgb(29, 28, 29);\"><strong>Compliance</strong></span><span>: Assist Director of Legal with developing, administering, and maintaining compliance filings, policies, and procedures</span></li></ul><p>&nbsp;</p><p><span>Requirements:</span></p><div><figure class=\"table\"><table cellspacing=\"0\" cellpadding=\"0\" hspace=\"0\" vspace=\"0\" align=\"left\"><tbody><tr><td valign=\"top\" align=\"left\" style=\"padding: 0in 9pt;\"><ul style=\"list-style-type: disc; padding-left: 24px;\"><li><span>University/ Accredited Law School</span></li><li><span>Minimum 3-6 Years relevant experience</span></li><li><span>Experience working in a B2B environment</span></li><li><span>Experience in IT/Software environment highly preferred&nbsp;</span></li><li><span>Commercial: collaborating with Sales and Customers during contracting</span></li></ul></td></tr></tbody></table></figure></div><p><span>Exposure to Privacy: how it impacts commercial contracting, particularly with parties that have global operations</span></p><div><figure class=\"table\"><table cellspacing=\"0\" cellpadding=\"0\" hspace=\"0\" vspace=\"0\" align=\"left\"><tbody><tr><td valign=\"top\" align=\"left\" style=\"padding: 0in 9pt;\"><ul style=\"list-style-type: disc; padding-left: 24px;\"><li><span>Able to assess new, non-standard \"situations\" to identify legal and business issues.</span></li><li><p><span>Assertiveness: ability to say “no”; connecting with Sales and Customers; Executive presence (in the making)</span></p><p>&nbsp;</p></li><li><span>Ambiguity: ability to navigate ambiguity and the “discomfort” of process building; knowing when to pick battles; having the judgement to know when to ask for help</span></li><li><span>Ability to understand organizational decision-making relationships in order to facilitate results.
