    "description": "<p><span style=\"font-weight: bold\"><span style=\"text-decoration: underline\">JOB OVERVIEW <br></span></span>Coolidge Wall Co., L.P.A., is currently recruiting a Corporate M&amp;A Paralegal who is looking to join an established team of respected attorneys in our Dayton, Ohio location.  This is a full-time, in office position. <br><br></p>\n<p><span style=\"font-weight: bold\"><span style=\"text-decoration: underline\">ABOUT THIS POSITION</span></span><br>The successful candidate should have an outgoing personality, enjoy collaborating with coworkers and clients as a team player, and willingness to take on responsibilities as appropriate.</p>\n<ul>\n<li>5+ years or more of high level corporate transactional experience</li>\n<li>Associate or Bachelor’s degree or significant experience</li>\n<li>Excellent communication skills</li>\n<li>Attention to detail</li>\n<li>Ability to work independently</li>\n<li>Ability to multi-task and prioritize assignments while delivering consistent, quality work product for both attorneys and clients</li>\n</ul>\n<p><br><br></p>\n<p><span style=\"font-weight: bold\"><span style=\"text-decoration: underline\">JOB RESPONSIBILITIES</span></span></p>\n<ul>\n<li>Coordinating due diligence (including management of electronic data rooms) for a variety of corporate transactions, including mergers, acquisitions, dispositions, financing, etc.</li>\n<li>Preparing closing checklists and coordinating the closing process for various corporate transactions</li>\n<li>Reviewing and summarizing UCC, judgment, tax, and other lien searches</li>\n<li>Preparing and distributing closing binders</li>\n<li>Preparing and filing a variety of documents, including certificates of incorporation/formation, merger, and dissolution, and other corporate filings, corporate resolutions, and UCC financing statements.</li>\n<li>Maintaining client minute books and managing corporate records.</li>\n</ul>\n<p> </p>\n<p><span style=\"font-weight: bold\"><span style=\"text-decoration: underline\">ABOUT OUR CULTURE<br></span></span>Our employees enjoy a team-focused environment with bonus pay based on work performance.  We encourage our employees to make a career out of their decision to join Coolidge Wall Co., L.P.A., as we enjoy and value long-term relationships with our clients, employees, and community. </p>\n<p><span style=\"font-weight: bold\"><span style=\"text-decoration: underline\"><br>BENEFITS<br></span></span>We offer a generous compensation and benefits package.  Benefits include medical, dental, vision, 401(k) plan with matching, Profit-Sharing, STD, LTD, paid Parental Leave, Life Insurance, HSA, FSA, Dependent Care FSA, Mental Health programs, and employee referral bonus program. </p>\n<p> </p>\n<p>For more information about our firm, please visit <a href=\"http://www.coollaw.com\" target=\"_blank\" rel=\"noopener noreferrer\">www.coollaw.com</a></p>\n<p><br>Coolidge Wall Co., L.P.A. is proud to be an equal opportunity employer.</p>",
