Description Cozen O'Connor LLP is seeking an experienced full-time Securities Law Clerk to join our Corporate and Securities Practice Group in our Toronto office. This is an exciting opportunity to join a growing capital markets practice and support lawyers and clients on a broad range of public company, securities and corporate transactional matters. The successful candidate will have meaningful experience supporting Canadian public issuers, securities financings, continuous disclosure obligations and regulatory filings. This role involves significant interaction with SEDAR+, SEDI, stock exchanges and regulatory authorities, while also supporting related corporate governance and transactional matters. This position requires a highly organized, detail-oriented professional who can manage multiple priorities in a fast-paced environment and work both independently and collaboratively with lawyers, clients and other stakeholders. This is a hybrid role with three (3) days per week required onsite. Onsite requirements may evolve over time, and occasional work outside standard business hours may be required. The first 30 days will be onsite full-time to ensure a smooth onboarding experience with hands-on training and collaboration. Responsibilities Securities & Capital Markets Responsibilities Prepare and organize documentation for prospectus offerings, private placements, bought deal financings and other capital markets transactions, including assembling schedules, exhibits and closing documentation; Prepare, submit and manage filings through SEDAR+, SEDI and applicable Canadian stock exchanges, including the TSX, TSXV and CSE; Prepare and file continuous disclosure documents, including news releases, material change reports, annual and interim financial statements, management's discussion and analysis, annual information forms, management information circulars and related disclosure documents; Prepare and coordinate post-closing securities filings, including exempt distribution reports, insider reporting filings and stock exchange submissions; Assist with public company compliance matters, including stock exchange requirements, insider reporting obligations and continuous disclosure obligations; Conduct public issuer due diligence searches and reviews through SEDAR+, SEDI, stock exchange databases and other public sources; Assist with securities registrations and regulatory compliance matters, including National Registration Database (NRD) filings where required; Prepare closing documentation, coordinate execution and assist with transaction management for securities financings and other capital markets transactions; Liaise with clients, regulators, transfer agents, stock exchanges and internal stakeholders regarding securities filings and compliance matters. Corporate Responsibilities Prepare and file incorporations, organizations, amendments, amalgamations, continuances, revivals, dissolutions, extra-provincial registrations and related corporate filings, including coordination of multi-jurisdictional filing requirements where applicable; Maintain and update minute books, corporate records, registers and the firm’s Corporate Records database systems, and monitor ongoing corporate compliance requirements and filing deadlines; Prepare and coordinate documentation relating to share issuances, transfers, redemptions, cancellations, option plans and other corporate transactions; Draft routine board and shareholder resolutions, written consents, officer certificates and other corporate governance documentation; Assist with annual and special meeting materials and related corporate governance matters; Conduct corporate searches and assist with corporate due diligence for financings, acquisitions, divestitures and other transactions; Prepare closing deliverables, coordinate execution processes, assemble closing books and support post-closing corporate filings corporate, securities and financing transactions. Qualifications Law Clerk diploma or equivalent from a recognized post-secondary institution; ILCO certification or eligibility for certification is considered an asset; Demonstrated experience supporting securities and capital markets transactions and public company compliance matters, including regulatory filings, continuous disclosure obligations and transactional closings, gained within a capital markets, securities or corporate law practice at a law firm (including boutique firms), in-house legal department or other professional services environment; Hands-on experience preparing, submitting and managing filings through TMX LINX, SEDAR+, SEDI and Canadian stock exchanges (e.g. TSX, TSXV, CSE); Strong working knowledge of Canadian securities regulatory requirements, including public and private financings, continuous disclosure obligations, insider reporting, exempt distribution reporting and stock exchange compliance matters; Experience supporting prospectus offerings, private placements, public company disclosure obligations, transactional closings and post-closing securities filings; Strong working knowledge of corporate law procedures under the CBCA and OBCA, including incorporations, corporate maintenance, governance matters, share transactions and related corporate filings; Experience preparing and maintaining minute books, corporate records, governance documentation and closing documentation for corporate and securities transactions; Proficiency with Microsoft Office (Word, Excel and Outlook), SEDAR+, SEDI, corporate filing platforms (including OnCorp, Cyberbahn and/or CorpLink), document management systems and legal technology tools; Exceptional organizational and project management skills, with the ability to manage multiple transactions, competing deadlines and time-sensitive regulatory filings in a fast-paced environment; Excellent attention to detail and strong analytical, problem-solving and communication skills; Ability to work independently while exercising sound judgment and collaborating effectively with lawyers, clients, transfer agents, stock exchanges, regulators and other stakeholders; Demonstrated commitment to client service, professionalism, team work, and continuous learning. Preferred Experience The ideal candidate will have direct experience with several of the following: Prospectus offerings, bought deal financings, private placements and related transactional closings; Preparation and coordination of closing documentation, execution processes, closing books and post-closing securities filings; Continuous disclosure filings and public company reporting obligations; TSX, TSXV and/or CSE listings, financings and compliance matters; SEDI insider reporting and exempt distribution reports; Public company corporate governance and annual meeting matters; Securities due diligence, public issuer record reviews and regulatory compliance matters. The expected annual base salary range for this position is $90,000 - $140,000 and is eligible for an annual, discretionary bonus. The offered salary will be determined based on factors such as job knowledge, skillset, experience, and internal and market equity.
