          "text": "<p><strong>Scope of Work: </strong></p><p>The Attorney will provide legal counsel to the acquired businesses in the areas of corporate governance, commercial contracting, regulatory compliance, and general corporate matters.&#xa0;</p><p>&#xa0;</p><p><strong>Deliverables and </strong><strong>Services:</strong></p><ul><li>Drafts, reviews, negotiates, and advises on internal governance documents, corporate resolutions, and other legal documents related to day-to-day operations and commercial transactions.</li><li>Develops and maintains legal templates, playbooks, and best practices to support acquisition workflows</li></ul><ul><li>Provides legal oversight on integration activities, including commercial terms and operational harmonization</li><li>Negotiates with existing, new and renewing customers.</li><li>Has a deep understanding of the technology space and is able to close deals with limited supervision.</li></ul><ul><li>Drafts and reviews legal correspondence, memoranda, and opinions as needed&#xa0;</li></ul><ul><li>Advises and collaborates with Finance, Tax and Mergers and Acquisitions team on legal matters arising from corporate transactions</li><li>Manages and oversees due diligence documentation and closing records for acquisitions</li></ul><ul><li>Oversees maintenance and accuracy of corporate record books and entity management systems</li></ul><ul><li>Establishes and maintains legal filing systems and document retention protocols</li></ul><ul><li>Performs other legal projects or duties as assigned, including cross-functional matters involving finance and accounting</li></ul>",
