The ideal candidate will have 4-5 years of experience in private company M&amp;A and corporate commercial practice. </p>\n<p><br></p>\n<p>Our Private Company M&amp;A practice provides advice on mergers, acquisitions, corporate reorganizations, and other significant corporate transactions. We work with private companies across various industries, with a particularly strong track record in mid-market M&amp;A transactions ranging from $10 million to $200 million. We also provide general business law support as external counsel to local, national, and international businesses.</p>\n<p><br></p>\n<p>This is a full-time, permanent position and is ideal for anyone wanting to join a firm that takes pride in having a collegial working atmosphere, where growth and professional development are supported<span style=\"font-weight: bold\">. </span></p>\n<p><br><br></p>\n<p><span style=\"font-weight: bold\">What You’ll Be Doing</span></p>\n<p><br><br></p>\n<ul>\n<li>Managing and running private company transactions from start to finish with partner oversight as needed;</li>\n<li>Leading transaction files, timelines, and closing processes across multiple concurrent matters;</li>\n<li>Drafting, reviewing, and negotiating: LOIs, NDAs, Asset Purchase Agreements, Share Purchase Agreements, Shareholder agreements, Commercial agreements, and ancillary transaction documentation;</li>\n<li>Coordinating due diligence processes and preparing due diligence summaries;</li>\n<li>Preparing closing documentation, closing agendas, and post-closing deliverables;</li>\n<li>Managing undertakings, trust conditions, transaction funds flow, and trust account matters;</li>\n<li>Liaising directly with clients, opposing counsel, lenders, accountants, and other advisors</li>\n<li>Advising clients on general corporate and commercial matters, including corporate governance, corporate reorganizations, business structuring, and commercial contracting;</li>\n<li>Supporting financing transactions, including bank financing and security documentation;</li>\n<li>Collaborating with lawyers across practice groups, including tax, real estate, employment, litigation, and intellectual property;</li>\n<li>Mentoring junior associates, students, and paralegals where appropriate; and</li>\n<li>Participating in business development, networking, and client relationship initiatives.</li>\n</ul>\n<p><br><br></p>\n<p><span style=\"font-weight: bold\">How You’ll Be a Great Fit for This Role</span></p>\n<p><br><br></p>\n<ul>\n<li>4–5 years of post-call experience in corporate/commercial law, with a strong focus on private company M&amp;A;</li>\n<li>A client-centered approach, with excellent interpersonal and communication skills, both written and oral;</li>\n<li>Experience independently managing transactions from commencement through closing;</li>\n<li>Strong drafting and negotiation skills;</li>\n<li>Excellent organizational and project management abilities;</li>\n<li>A clear understanding of transactional undertakings, trust conditions, and handling transaction funds;</li>\n<li>Experience preparing and negotiating ancillary transaction documentation;</li>\n<li>Strong attention to detail and sound commercial judgment;</li>\n<li>Ability to manage competing priorities in a fast-paced environment; and</li>\n<li>A collaborative and team-oriented approach to practice.</li>\n</ul>\n<p><br></p>\n<p><span style=\"font-weight: bold\">The following experience would be considered an asset:</span></p>\n<p><br></p>\n<ul>\n<li>Commercial leasing</li>\n<li>Intellectual property matters</li>\n<li>Bank financing and secured lending transactions</li>\n<li>General employment law considerations in transactional contexts</li>\n<li>Exposure to tax-driven reorganizations and corporate structuring</li>\n</ul>\n<p><br></p>\n<p><span style=\"font-weight: bold\">The Exciting Extras</span></p>\n<p><br></p>\n<p>In addition to a competitive salary range of $160,000 to $180,000 (aligned with experience and skills), we offer a range of benefits to ensure you are set up to thrive in a healthy work-life balance at Clark Wilson:</p>\n<p><br></p>\n<p><span style=\"font-weight: bold\">Benefits:</span> Health coverage for you and your family, including overseas emergency medical care, prescriptions, vision care, dental care, paramedical services, life insurance, and hospital accommodation.</p>\n<p><br></p>\n<p><span style=\"font-weight: bold\">Additional Pregnancy/Parental Leave Benefits</span>: Pregnancy and parental leave top-up to 100% for a portion of the leave so that you can spend quality, worry-free time with your family.</p>\n<p><br></p>\n<p><span style=\"font-weight: bold\">Health &amp; Wellness Spending Account:</span> Health and Wellness Spending account to pay for items that will help you with your unique needs: an exercise bike, swimming lessons, or your pets’ vet bills.
