This role will own and lead all legal matters across the enterprise, with a heavy emphasis on commercial construction contracts, risk mitigation, and proactive legal strategy. The Senior In-House Counsel will be deeply embedded in the business—partnering daily with Operations, Pre-Construction, Project Management, Finance, and Executive Leadership—to fabricate, negotiate, review, and manage construction contracts while reducing risk and supporting profitable growth. font-weight: bold\">Responsibilities: </span></p>\n<p><span style=\"font-size: 12pt; font-weight: bold\">Construction Contract Fabrication, Review &amp; Negotiation (Primary Emphasis)</span></p>\n<ul>\n<li>Draft, review, and negotiate:</li>\n</ul>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li>Prime contracts (AIA, ConsensusDocs, AGC, custom owner forms)</li>\n<li>Subcontracts and supplier agreements</li>\n<li>Design-build and EPC agreements</li>\n<li>Master Service Agreements (MSAs)</li>\n<li>Change orders, amendments, and exhibits</li>\n</ul>\n</li>\n</ul>\n<ul>\n<li>Lead contract risk reviews during:</li>\n</ul>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li>Bid phase</li>\n<li>Pre-award negotiations</li>\n<li>Major project escalations</li>\n</ul>\n</li>\n</ul>\n<ul>\n<li>Identify and mitigate high-risk clauses including:</li>\n</ul>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li>Indemnification</li>\n<li>Liquidated damages</li>\n<li>Delay damages / no-damage-for-delay</li>\n<li>Pay-if-paid / pay-when-paid</li>\n<li>Flow-down provisions</li>\n<li>Insurance and bonding requirements</li>\n<li>Warranty and defect exposure</li>\n</ul>\n</li>\n<li>Develop standard contract playbooks, redline guidance, and fallback positions for Operations and Pre-Construction teams.</li>\n</ul>\n<p><span style=\"font-weight: bold\">Legal Risk Management &amp; Claims Oversight</span></p>\n<ul>\n<li>Provide legal guidance on:</li>\n</ul>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li>Project disputes, claims, and terminations</li>\n<li>Delay, acceleration, and scope disputes</li>\n<li>Lien rights, bond claims, and payment disputes</li>\n</ul>\n</li>\n</ul>\n<ul>\n<li>Manage litigation strategy in coordination with outside counsel (when required)</li>\n<li>Proactively advise project teams to <span style=\"font-weight: bold\">avoid disputes before they escalate</span></li>\n<li>Support resolution strategies that preserve client relationships when possible</li>\n</ul>\n<p> <span style=\"font-size: 12pt;
